$75,000 Muhammad (Moe) Ali Agreement 2024

Performance Agreement includes a $75,000 incentive bonus, personal use of a BMW, and $100,000 beneficiary status on a Farmers Life Insurance policy payable upon the death of J.A. Jenkins.

In return, Muhammad Ali must remain employed with Graze Craze, Inc, through February 28, 2027, and meet performance goals including supporting company growth, mentoring staff, maintaining structure, assisting with leadership transitions, and remaining available to COO J.A. Jenkins as needed. Ali states in 2025 texts he hasn't been paid in 3 years.

Agreement Key Terms

1. Bonus Amount:

   • Up to $75,000 paid as a one-time cash bonus.

2. Employment Requirement:

   • Muhammad Ali must remain employed through February 28, 2027.

   • If his employment ends earlier (death, disability, termination with cause, or voluntary resignation), no bonus is paid.

3. Performance Goals Required:

   • Significant contributions to Graze Craze’s logistics growth

   • Maintaining company structure and credibility

   • Supporting company volume and growth

   • Mentoring employees

   • Assisting with leadership transition and being available to COO J.A. Jenkins

4. Insurance & Perks:

   • $100,000 life insurance policy (paid to Ali if J.A. Jenkins dies)

   • An additional $75,000 guarantee (bonus insurance)

   • A 2020 BMW for personal and business use

5. Bonus Payment Timing:

   • Paid no later than March 31, 2024, if conditions are met.

6. Other Legal Terms:

   • Taxes will be withheld

   • The agreement does not guarantee continued employment

   • Bonus is excluded from retirement and benefit plans

   • Cannot be assigned by Ali

   • Governed by Oklahoma law
